By accessing or using our OEM/ODM services for knitwear products including underwear, sleepwear, activewear, and related apparel ("Services"), you agree to comply with these Terms of Service. These terms govern your business relationship with us.

2. Service Scope

We provide manufacturing services including:

  • Custom product development and prototyping
  • Material sourcing and production
  • Quality control and inspection
  • Logistics and shipping coordination

Minimum order quantities, production timelines, and technical specifications will be confirmed in individual project agreements.

3. Ordering Process

The standard workflow includes:

  1. Submission of technical specifications and design requirements
  2. Price quotation and MOQ confirmation
  3. Deposit payment (30%-50% of total order value)
  4. Prototype development and approval
  5. Mass production
  6. Final inspection and balance payment
  7. Shipment

4. Payment Terms

Standard payment schedule:

  • 30% deposit upon order confirmation
  • 40% payment after prototype approval
  • 30% balance before shipment

Late payments incur 1.5% monthly interest. All prices are in USD unless otherwise specified.

5. Intellectual Property

Client retains ownership of all submitted designs and specifications. We retain rights to manufacturing processes and technical know-how developed during production. Both parties agree not to disclose proprietary information to third parties without written consent.

6. Quality Control & Returns

We conduct:

  • In-process quality checks during production
  • Pre-shipment random inspection (AQL 2.5 standard)

Defect claims must be submitted within 14 days of receipt with supporting documentation. We will repair, replace, or credit defective items at our discretion.

7. Shipping & Delivery

Shipping terms (FOB, CIF, etc.) will be specified per order. Delivery timelines are estimates and not guaranteed. We are not liable for delays caused by:

  • Customs clearance issues
  • Carrier delays
  • Force majeure events
  • Client-caused delays in approvals or payments

8. Liability Limitations

Our maximum liability for any claim is limited to the total order value. We are not liable for:

  • Consequential or indirect damages
  • Loss of profits or business opportunities
  • Third-party claims against your products

9. Termination

Either party may terminate with 30 days written notice. Termination during production incurs cancellation fees covering:

  • Completed work
  • Materials purchased
  • Production capacity reservation costs

10. Governing Law

These terms are governed by the laws of the People's Republic of China. Disputes will be resolved through arbitration in Shenzhen, China.

11. Modifications

We may update these terms periodically. Continued use of our services after changes constitutes acceptance of the modified terms.
